1. INTRODUCTION

Welcome to Clear Cart ("Platform", "we", "us", or "our"), a multi-vendor e-commerce marketplace that allows independent third-party sellers ("Vendors" or "Stores") to list and sell products to customers ("Buyers" or "Users").

By accessing or using the Clear Cart website, mobile application, or related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.

 2. PLATFORM ROLE & LIMITATION OF LIABILITY

Clear Cart acts solely as a technology platform and marketplace facilitator. We:

* Do not own, manufacture, stock, or control products listed on the Platform.
* Are not a party to transactions between Buyers and Vendors.
* Do not guarantee product quality, legality, safety, or accuracy of listings.

All sales contracts are formed directly between Buyers and Vendors.

3. ELIGIBILITY

To use Clear Cart, you must:

* Be at least 18 years old.
* Have legal capacity to enter into binding contracts.
* Provide accurate, complete, and up-to-date information.

Clear Cart reserves the right to suspend or terminate accounts that provide false or misleading information.

4. USER ACCOUNTS

4.1 Account Registration

Users may be required to create an account to purchase or sell products. You are responsible for:

* Maintaining confidentiality of login credentials.
* All activities conducted under your account.

4.2 Account Suspension or Termination

We may suspend or terminate accounts without prior notice if:

* These Terms are violated.
* Fraudulent, abusive, or unlawful activity is suspected.
* Required compliance documentation is not provided (for Vendors).

5. VENDOR TERMS

5.1 Vendor Onboarding

Vendors must provide:

* Valid business and contact details.
* Banking information for payouts.
* Any licenses or permits required by law.
Clear Cart may approve or reject Vendor applications at its sole discretion.

5.2 Vendor Responsibilities

Vendors are solely responsible for:

* Product descriptions, pricing, images, and availability.
* Product quality, authenticity, and legal compliance.
* Order fulfillment, packaging, and shipping.
* Handling returns, refunds, and warranties.
* Customer service related to their products.

5.3 Prohibited Products

Vendors may not list:

* Illegal, counterfeit, or stolen goods.
* Hazardous or restricted products without proper authorization.
* Products that infringe intellectual property rights.

Clear Cart reserves the right to remove listings at any time.

6. ORDERS & PAYMENTS

6.1 Pricing

All prices are set by Vendors and displayed inclusive or exclusive of applicable taxes as required by law.

6.2 Payments

* Payments are processed through Clear Cart’s payment partners.
* Clear Cart may hold funds temporarily before releasing them to Vendors.
* Platform fees or commissions may be deducted prior to payout.

6.3 Payouts

Vendor payouts are subject to:

* Successful order completion.
* Refund or dispute windows.
* Compliance verification.

7. SHIPPING & DELIVERY

* Delivery timelines are estimated and provided by Vendors.
* Clear Cart is not responsible for delivery delays or failures.
* Risk of loss passes to the Buyer upon delivery, subject to applicable consumer laws.

8. RETURNS, REFUNDS & DISPUTES

8.1 Returns & Refunds

* Return and refund policies are set by individual Vendors.
* Buyers should review Vendor policies before purchasing.

8.2 Dispute Resolution

Clear Cart may, at its discretion, assist in mediating disputes but is not obligated to resolve them.

9. INTELLECTUAL PROPERTY

All Platform content, including logos, designs, text, and software, is owned by or licensed to Clear Cart.
Vendors grant Clear Cart a non-exclusive, royalty-free license to use product content for marketing and Platform operations.

10. USER CONDUCT

Users may not:

* Engage in fraud, abuse, or deceptive practices.
* Upload malicious code or interfere with Platform security.
* Violate any applicable laws or regulations.

11. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as-is" and "as-available" basis. Clear Cart makes no warranties regarding:
* Product quality or fitness for purpose.
* Platform uptime or error-free operation.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Clear Cart shall not be liable for:

* Indirect, incidental, or consequential damages.
* Loss of profits, data, or business opportunities.
* Acts or omissions of Vendors or Buyers.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Clear Cart from any claims, damages, or expenses arising from:

* Your use of the Platform.
* Your violation of these Terms.
* Your infringement of third-party rights.

14. PRIVACY

Use of the Platform is subject to our Privacy Policy, which governs how personal data is collected and processed.

15. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Republic of South Africa, and courts Gauteng shall have exclusive jurisdiction, unless otherwise required by law.

16. CHANGES TO TERMS

Clear Cart may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
